DEVELOPER & PUBLISHER TERMS

Applies to: Game developers, publishers, studios, and integrators using THRYL SDKs/APIs, events, creator tools, storefronts, and related services.

Read with: Terms of Use, Privacy Policy, Community Guidelines & Fair Play, Token & Conversion Policy, Offerwall Policy, Brand Safety & UA Addendum, Trademark Policy.

Plain‑English summary (non‑binding): These terms govern how games integrate with THRYL. Keep experiences safe, free to enter, and skill‑based; no gambling/fantasy/betting. Use our SDKs as‑is, pass only permitted data, comply with privacy and age rules, and keep your builds compatible. If you use Tokens/Gems or Offerwall, follow the specific policies. Commercial splits and bespoke rights, if any, live in your IO/SOW or Publisher Agreement.

  1. SCOPE & HIERARCHY

1.1 Scope. These terms cover SDK/API access, game onboarding, events/tournaments hosted via THRYL, creator integrations, storefront listings, and analytics/anti‑cheat telemetry.

1.2 Hierarchy. Contract order: Signed Publisher Agreement/IO/SOW → these Developer & Publisher Terms → Terms of Use → Privacy Policy. If a signed agreement contradicts our No‑RMG or safety rules, those rules control.

  1. DEFINITIONS 

  • SDKs/APIs: THRYL software development kits, libraries, documentation, sample code, and web services.

  • Game: Your game(s) and related services you integrate with THRYL.

  • Telemetry: Non‑content signals and events (e.g., session starts, match stats, anti‑cheat flags) sent to THRYL.

  • Events: Tournaments, challenges, leagues, or show‑matches conducted via THRYL.

  • Virtual Items: THRYL Token, THRYL Gems, and other in‑app items as defined in the Token Policy.

  • DPA: Data Processing Addendum.

  1. ELIGIBILITY & ONBOARDING 

3.1 Authority. You confirm you have authority to bind your entity. 

3.2 Compliance. You will comply with applicable law, app‑store/OEM policies, platform rules, and rating bodies. 

3.3 KYC/Docs. We may request entity KYC (e.g., registration certificate, GSTIN/PAN), dev contacts, and security points‑of‑contact.

  1. SDK LICENCE & INTEGRATION

4.1 Licence. THRYL grants a revocable, non‑exclusive, non‑transferable, non‑sublicensable licence to use SDKs/APIs solely to integrate your Game with THRYL.

4.2 Restrictions. Do not reverse engineer, decompile, modify, or redistribute SDKs; do not remove notices; do not use SDKs to build competing services.

4.3 Compatibility. Maintain compatibility with current SDK versions. We may deprecate versions with reasonable prior notice; you must upgrade within the deprecation window stated in docs or IO/SOW.

4.4 Keys & Rate Limits. Keep API keys confidential. Respect rate limits. We may throttle or suspend abusive traffic.

4.5 Open‑Source. Where SDKs reference open‑source components, those are licensed under their respective licences; you must comply with applicable notices.

  1. DATA, PRIVACY & DPA

5.1 Roles. Each party acts as an independent controller for its own user data unless expressly agreed otherwise in a DPA.

5.2 Permitted Data. Pass only the minimum necessary telemetry and identifiers documented by THRYL (Appendix A). Do not send raw personal messages, contacts, passwords, payment credentials, or special‑category data.

5.3 Consent & Notices. You will provide clear in‑app disclosures and obtain all consents (e.g., analytics/anti‑cheat, personalised features) as required by law.

5.4 Children/Teens. Do not send personal data of users under 18 to THRYL except as permitted for age‑gating and safety, and only where lawful and disclosed. THRYL is not directed to under‑13 users.

5.5 Security. Use TLS in transit and encrypt sensitive tokens at rest. Maintain access controls and least‑privilege principles.

5.6 Data Subject Requests. Cooperate in good faith on access/correction/deletion requests relating to data you shared with THRYL.

5.7 Breach Notice. Notify THRYL without undue delay of any breach impacting SDK/API secrets or THRYL data.

  1. ANTI‑CHEAT, FAIR PLAY & SAFETY

6.1 No RMG. Gambling, betting, fantasy contests, or other RMG are prohibited on or through THRYL. Do not link to or promote such services.

6.2 Fair Play. Implement reasonable anti‑cheat controls in your Game and cooperate with THRYL’s anti‑cheat signals, including device fingerprints, process checks, and behaviour analytics consistent with the Privacy Policy.

6.3 Exploit Reporting. Promptly report vulnerabilities/exploits and work with us on fixes; do not publicise before coordinated disclosure.

6.4 Content Safety. Games must not include illegal content, hate/extremism, explicit sexual content, or material targeted at children that conflicts with our policies.

  1. EVENTS & TOURNAMENTS (FREE & SKILL‑BASED)

7.1 Free Entry. Events hosted on THRYL are free to enter (no entry/participation fee charged by THRYL).

7.2 Skill‑Based. Outcomes must be skill‑based; no wagering and no pay‑to‑win mechanics that impact tournament fairness.

7.3 Rules & Admin. Event rules must align with THRYL’s integrity standards and may require KYC, live ID checks, or recordings. Admin decisions may be final to preserve fair play.

7.4 Prizes & Taxes. Prize payouts are subject to verification, taxes (e.g., TDS in India), and applicable law.

  1. VIRTUAL ITEMS: TOKENS & GEMS

8.1 Tokens. If you enable THRYL Token earnings within your Game via Offerwall or THRYL events, Tokens are convertible to INR only under the Token & Conversion Policy.

8.2 Gems. THRYL Gems are non‑withdrawable and redeemable only for designated coupons/gift cards.

8.3 No Off‑Platform Trading. Do not create off‑platform markets, resale, or P2P transfers of Tokens/Gems.

  1. OFFERWALL & INCENTIVISED TASKS

9.1 Partner Controls. Offerwall integrations must comply with the Offerwall Policy.

9.2 Prohibitions. No Offers that solicit gambling/fantasy/betting apps or any RMG flow. No VPN/proxy/device‑farm guidance in tasks.

9.3 Truthful Claims. Disclose requirements and reward types (Token vs Gems) exactly as shown in‑app; no guaranteed earnings beyond THRYL disclosures.

  1. BRAND, TRADEMARKS & MARKETING

10.1 Marks. Use of THRYL logos/badges requires adherence to the Trademark Policy.

10.2 Publicity. Co‑marketing, creator activations, or event sponsorships require prior THRYL approval and must respect the Brand Safety & UA Addendum

  1. SECURITY REQUIREMENTS

11.1 Secure Coding. Follow industry practices (input validation, secret rotation, code signing).

11.2 Keys/Secrets. Store API keys and webhooks securely; never hard‑code secrets in public builds.

11.3 Pen‑Tests. Remediate critical issues identified by you or THRYL; we may require proof of fix for severe items.

11.4 Malware‑Free. Games and updates must be free of malware, spyware, or undeclared third‑party code that exfiltrates data.

  1. UPDATES, DEPRECATION & SUPPORT

12.1 Changelogs. Provide build notes and contact persons for incidents.
12.2 Deprecation. THRYL may deprecate SDKs; you must migrate within the timeframe in docs/notice.
12.3 Support Windows. We aim to support the current SDK and the previous two minor versions.
12.4 Downtime. THRYL may perform maintenance; we’ll use reasonable efforts to provide notice for planned downtime.
  1. COMMERCIAL TERMS (IF APPLICABLE)

13.1 Revenue Shares/Fees. Any store listings, sponsorship inventory, or event funding will be specified in the IO/SOW/Publisher Agreement.

13.2 Invoices & Taxes. Unless otherwise agreed, invoices are NET 15 days; fees are exclusive of taxes; provide GSTIN/PAN as applicable.

13.3 Chargebacks/Fraud. THRYL may withhold amounts and adjust statements to account for fraud, abuse, or chargebacks.

  1. WARRANTIES & PROHIBITED ACTS

14.1 Your Warranties. You own or have rights to your Game; your integration does not infringe IP; your Game is malware‑free and complies with law and policies. 

14.2 Prohibited. No reverse engineering of SDKs/APIs; no scraping; no resale or white‑labelling of THRYL services; no creation of derivatives mimicking THRYL UI/brand; no attempts to circumvent rate limits or security.

  1. INDEMNITY

You will defend, indemnify, and hold harmless THRYL/Glazer Labs, affiliates, and personnel from claims, damages, and costs (including reasonable legal fees) arising from: (a) your Game or content; (b) your integration or data you send; (c) your breach of these terms or law; or (d) alleged infringement of third‑party rights by your Game.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by law, THRYL/Glazer Labs is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, even if advised of the possibility. Our aggregate liability under these terms is capped at the greater of: (i) INR 25,000; or (ii) amounts paid by you to THRYL for the 3 months preceding the claim, excluding taxes/fees.

  1. SUSPENSION & TERMINATION 

17.1 Suspension. We may suspend access for suspected violations, security threats, or legal reasons.

17.2 Termination. Either party may terminate for material breach uncured within 30 days of notice. THRYL may terminate immediately for severe safety/No‑RMG violations.

17.3 Effect. On termination, stop using SDKs/APIs, delete keys, and cease brand use; surviving sections include 4.2, 5, 6, 10, 11, 14–18.

  1. GOVERNING LAW & DISPUTE RESOLUTION 

Governing law: India. Disputes: per the Terms of Use, arbitration under the Arbitration and Conciliation Act, 1996 with seat/venue Surat, Gujarat, proceedings in English. Either party may seek injunctive relief for IP/security.

APPENDIX A — PERMITTED DATA FIELDS (GUIDANCE)

Examples (subject to change; see current SDK docs):

  • Device/Session: hashed device ID, OS version, app version, IP (for fraud checks), timezone, language. 

  • Gameplay Events: match join/leave, win/loss, score, rank, anti‑cheat flags, ping, disconnect reason. 

  • Account Signals: username (hashed where possible), age band (e.g., 13–17/18+), country/region code. 

  • Economy: Token/Gem earn events from Offerwall or Events (no payment credentials). 

Do not send: chats/DMs, contacts, precise geolocation beyond what’s necessary for compliance, health/biometric data, or any special‑category data.

APPENDIX C — DEPRECATION & CHANGE MANAGEMENT

  • Notice: We aim to provide 30–90 days notice for breaking API changes or SDK deprecations.

  • Emergency: For security or legal risks, we may act immediately and notify post‑facto.

  • Testing: Staging endpoints and sample apps are provided where feasible.
