Applies to: Brands, advertisers, agencies, UA buyers, co‑marketing partners, and sponsorship clients using THRYL inventory, creator activations, and event integrations. 

Read with: THRYL Terms of Use, Privacy Policy, Community Guidelines, Offerwall Policy, Token & Conversion Policy. 

Summary (non‑binding): THRYL is a free‑to‑enter, skill‑based esports and gaming platform. We do not allow gambling/fantasy/betting (RMG) anywhere. This policy sets the bar for brand safety, UA integrity, creative standards, measurement, make‑goods, and compliance.

  1. SCOPE, HIERARCHY & DEFINITIONS 

1.1 Scope. This policy governs advertising, sponsorships, creator/influencer activations, UA/performance buys, branded content, and Offerwall tasks appearing on THRYL surfaces (website, App, events, streams, social reposts controlled by THRYL).

1.2 Hierarchy. Contract order (most specific to general): Signed IO/SOW → this Addendum → Terms of Use → Privacy Policy. If a signed IO contradicts the brand‑safety or No‑RMG rules here, these rules control.

1.3 Definitions. 

  • UA: User acquisition/performance media, including CPI/CPA/ROAS buys. 

  • IVT: Invalid traffic (bots, click injection/spam, device farms, etc.). 

  • Creator Activation: Paid or value‑in‑kind content by creators/influencers/esports talent tied to a brand brief. 

  1. ABSOLUTE PROHIBITIONS — NO RMG

  • Strict ban on any content, creatives, link‑outs, or tasks involving:

  • - Gambling, betting, fantasy contests, or other real‑money gaming (RMG), including tips/predictions/affiliates/funnels.

  • Illegal products/services, counterfeit goods, spyware/malware, hate/extremist content, incitement to violence.

  • Adult/explicit sexual content, sexualisation of minors, escorting, pornographic services.

  • Tobacco/vapes; firearms/ammunition; narcotics or unlawful substances.

  • Deceptive health/finance claims, miracle cures, get‑rich‑quick, pyramid/MLM schemes.

  • Deepfakes/misattribution or undisclosed manipulated media.

    THRYL may block, remove, or refuse any creative at its sole discretion to protect users and partners.

  1. CREATIVE RIGHTS, DISCLOSURE & APPROVALS 

3.1 Rights. Partner warrants ownership/licences to all assets (logos, music, fonts, talent likeness, UGC permissions). Partner grants THRYL a limited licence to host, transcode, resize, and render creatives across THRYL placements.

3.2 Disclosures. Sponsored content must be clearly labelled (e.g., “Ad”, “Sponsored”). Creators must use ASCI/FTC‑style disclosures (#ad, paid partnership). No bait‑and‑switch or dark patterns.

  1. PLACEMENT, ADJACENCY & EDITORIAL CONTROL

THRYL controls placement, pacing, frequency capping, and adjacency. We use brand‑safety filters and may pause/relocate creatives to avoid unsuitable contexts (e.g., breaking tragedies, toxicity spikes) without liability for consequential damages.

  1. MEASUREMENT, REPORTING & MAKE‑GOODS

5.1 Measurement. If an MMP/third‑party tracker (AppsFlyer/Adjust/Branch, etc.) is listed in the IO, it will govern UA attribution. Otherwise, THRYL reporting prevails

5.2 KPIs. Impressions, clicks, views, watch‑time, reach, engagement, installs/conversions, ROAS (as applicable) per IO.

5.3 Shortfalls. For under‑delivery against booked impressions or agreed KPIs (where guaranteed), make‑good inventory is the sole remedy, unless the IO explicitly states otherwise. No cash refunds for delivered inventory.

  1. UA INTEGRITY & ANTI‑FRAUD

6.1 Prohibited IVT/Fraud. SDK spoofing; click injection/spamming; incent stacking outside declared Offerwall; bot installs; device farms; fake/duplicative identities; VPN/proxy masking; mis‑attribution tactics.

6.2 Controls. THRYL may blocklist sources, throttle or reallocate budgets, and deny billing for flagged traffic. Partners must raise disputes within 7 days of report/invoice.

6.3 Attribution Windows. Click/view windows and post‑install events as per IO or MMP config.

  1. DATA USE, PRIVACY & SECURITY

7.1 Data Minimisation. THRYL shares only aggregated/anonymised insights unless user‑level data sharing is expressly contracted and lawful.

7.2 Privacy. All processing follows the Privacy Policy and applicable law. No hidden trackers; pixels/SDKs must be disclosed and compliant with app‑store/OEM rules. 

7.3 Security. Campaign data handled under THRYL security practices; access is restricted on a need‑to‑know basis.

  1. PAYMENTS, TAXES & CREDIT TERMS 

8.1 Payment. Pre‑pay by default. Post‑pay requires credit approval.

8.2 Invoices. NET 15 days from invoice date; late fees 1.5% per month (or legal max).

8.3 Taxes. Fees are exclusive of taxes. Provide GSTIN/PAN as applicable. Withholding/indirect taxes are applied per law.

  1. SPONSORSHIPS, INTEGRATIONS & CO‑BRANDING

9.1 IP Ownership. Each party retains pre‑existing IP; new assets follow IO/SOW.

9.2 Publicity. Name/logo usage requires prior mutual approval.

9.3 Events & Streams. Integrations must comply with No‑RMG, community standards, and event codes of conduct. 

  1. OFFERWALL & INCENTIVISED INVENTORY

10.1 Reward Types. Offerwall incentives may be THRYL Token (convertible to INR under the Token & Conversion Policy) or THRYL Gems (non‑withdrawable; coupon/gift card redemption only).

10.2 Truthful Claims. Partners must not misrepresent rewards or imply guaranteed earnings/cashbacks beyond in‑app disclosures.

10.3 Prohibited Tasks. No Offers that solicit gambling/fantasy/betting apps or any RMG‑related flows.

  1. BRAND SUITABILITY & ADJACENCY CONTROLS

Suitability Tiers (select per campaign):

  • A (General): family‑safe content; non‑violent game content; no profanity. 

  • B (Teen/PG‑13): mild competitive intensity; limited non‑graphic combat typical of esports; no explicit language. 

  • C (Mature‑Gamer): intense competitive scenes; stylised violence common to mature‑rated games; no gore. 

Adjacency Exclusions: On request, THRYL will use reasonable efforts (inventory permitting) to avoid adjacency to politics, tragedies, medical misinformation, or toxicity spikes.

  1. POLITICAL & SENSITIVE ISSUES

  • Political/issue ads are not permitted unless pre‑approved in writing and compliant with law/platform policies; THRYL may still refuse at its discretion. 

  • Health/finance claims require legally required disclosures and substantiation; no miracle/guarantee claims. 

  1. CHILDREN & MINOR PROTECTION

THRYL is not directed to children under 13 and does not knowingly accept child‑directed ad creatives. Creatives must align with the chosen Suitability Tier and relevant child‑protection advertising codes.

  1. CREATIVE SPECIFICATIONS & QA

  • Submit final assets 48 hours before start for QA. 

  • Supported formats: IAB display, VAST video, native, in‑app overlays, stream integrations (detailed specs in IO). 

  • Sponsorship and influencer content must include clear disclosures (#ad, paid partnership) and comply with ASCI/FTC guidance. 

  1. CAMPAIGN ADMINISTRATION 

  • Suggested IO fields: campaign name; dates; geo; platforms; budget; KPIs; MMP/attribution; targeting; placements; Suitability Tier; adjacency exclusions; billing entity; GSTIN/PAN; contacts; approval chain.

  • Cancellations:

    • ≥ 7 days pre‑start: 0% fee.

    • 3–6 days pre‑start: up to 25% (production/hold costs).

    • <72 hours pre‑start or in‑flight: actuals delivered + up to 50% of remaining inventory (unless resold).

    • Force Majeure: For outages or events beyond control, parties will co‑operate on schedule shifts or make‑goods.

  1. DATA RETENTION, DISCLOSURE & AUDIT SIGNALS

  • Retention: Logs/metrics retained for a commercially reasonable period for billing, QA, fraud review, and legal compliance.

  • Disclosure: THRYL may share high‑level source/placement indicators (without PII) to support IVT decisions.

  • Security: Access audited; least‑privilege controls applied.

  1. LIABILITY, INDEMNITY & REMEDIES

  • Limitation: THRYL’s liability is limited as per the Terms of Use.

  • Indemnity: Partner indemnifies THRYL against claims arising from creatives, targeting, product claims, or legal violations.

  • Sole Remedy for Shortfalls: Make‑good inventory unless otherwise stated in the IO/SOW.

  1. GOVERNING LAW, DISPUTES & VENUE

  • Law: India.

  • Venue/Seat: Surat, Gujarat.

  • Arbitration: Arbitration & Conciliation Act, 1996; sole arbitrator appointed per Terms of Use; proceedings in English.

  • Good‑Faith Window: 30 days before arbitration.
